These Terms and Conditions (“Terms”) govern your access to and use of services provided by Precision Testing Labs LLC, d/b/a Lynk Diagnostics (“Lynk Diagnostics,” “we,” “us,” or “our”). By ordering, purchasing, scheduling, submitting specimens for, or otherwise using our services (the “Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms.
1.1 Laboratory/diagnostic services. We provide diagnostic testing and related services as described in your order requisition, statement of work, service agreement, quote, or invoice (collectively, “Order Documentation”). Our laboratory is certified under the Clinical Laboratory Improvement Amendments of 1988 (CLIA) and licensed by the State of California Department of Public Health.
1.2 No medical advice. Unless explicitly stated in writing, the Services do not include medical diagnosis, treatment, or medical advice. Test results should be reviewed and interpreted by a qualified licensed clinician.
1.3 Service changes. We may update methods, instrumentation, reference ranges, and processes as needed for quality, compliance, or operational reasons. Where required, we will provide notice through updated documentation or reports.
2.1 Authority to order. You represent and warrant that you have authority to request the Services, submit specimens, and receive results (e.g., as the patient/consumer where permitted, an ordering provider, an employer, an authorized representative, or an entity permitted by law).
2.2 Accurate information. You agree to provide accurate, complete, and current information required to perform the Services, including patient demographics (if applicable), clinical information, and billing details.
3.1 Specimen requirements. You are responsible for ensuring specimens are collected, labeled, stored, and shipped in accordance with our instructions and applicable laws and regulations. Improper collection/handling may affect test validity or prevent testing.
3.2 Rejection and recollection. We may reject specimens that are compromised, mislabeled, insufficient, or noncompliant with requirements. Recollection fees and additional charges may apply.
3.3 Chain of custody (if applicable). If a chain-of-custody process is required (e.g., certain employment or forensic contexts), you are responsible for following required procedures. Any deviation may impact result reliability and admissibility.
4.1 Estimates only. Reported turnaround times are estimates and not guarantees. Timing may vary due to specimen quality, confirmatory testing, instrument maintenance, shipping delays, data validation, or high volume.
4.2 Priority services. Expedited or STAT services may be available for an additional fee as specified in Order Documentation.
5.1 Laboratory limitations. All testing has inherent limitations. Results may be affected by collection timing, medications, contamination, transport conditions, biological variability, and other factors.
5.2 Not a guarantee. We do not guarantee that results will be error-free or that a particular outcome will be achieved.
5.3 Permitted use. Reports are provided solely for the purpose stated in the Order Documentation and may not be altered. You may not use our name, marks, or reports in marketing or public statements without our prior written consent.
6.1 Cancellations. Cancellation requests must be submitted promptly. If testing has started or materials have been used, you may be responsible for incurred costs.
6.2 Refunds. Refund eligibility (if any) depends on the status of the Order and the reason for the request. Shipping and third-party fees are generally non-refundable. Unless otherwise stated in Order Documentation, all payments are non-refundable, unless cancelled due to our gross negligence or intentional breach.
7.1 Compliance. You agree to comply with all laws and regulations applicable to your use of the Services, including those related to specimen collection, privacy, and communications.
7.2 Privacy. We will handle personal information in accordance with applicable law and our privacy practices. If health information is involved, additional protections may apply (including HIPAA where applicable).
7.3 Security. No method of transmission or storage is 100% secure. We implement reasonable safeguards, but cannot guarantee absolute security.
8.1 Ownership. We retain all rights, title, and interest in our methodologies, processes, software, know-how, and materials used to deliver the Services.
8.2 Client materials. You retain ownership of your pre-existing data and materials you provide, subject to our right to use them as needed to perform the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.1 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LYNK DIAGNOSTICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
10.2 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
10.3 Allocations. You acknowledge that these limitations reflect an allocation of risk and form an essential basis of the bargain between the parties.
To the maximum extent allowed by law, you agree to indemnify, defend, and hold harmless Lynk Diagnostics and its owners, managers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Services; (c) improper specimen collection/handling/shipping by you or your agents; or (d) your violation of applicable law.
We are not liable for delays or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, power outages, epidemics/pandemics, labor disputes, supply chain disruptions, or transportation interruptions.
13.1 Governing law. These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
13.2 Venue. Unless otherwise required by applicable law, the parties agree that any legal action arising from these Terms shall be brought in the state or federal courts located in Orange County, California, and the parties consent to personal jurisdiction there.
13.3 Informal resolution. Before filing a claim, the parties agree to attempt in good faith to resolve disputes informally by contacting the other party and allowing a reasonable time for response.
We may update these Terms from time to time. Updated Terms will apply to new Orders and, where permitted, ongoing Services. The effective date above will be updated for revised versions.
15.1 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
15.2 No waiver. Failure to enforce any provision is not a waiver of future enforcement.
15.3 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.4 Entire agreement. These Terms and the Order Documentation constitute the entire agreement regarding the Services and supersede prior or contemporaneous communications on the subject.
If you are a California resident, you may have rights under California consumer protection laws that cannot be waived by contract. Nothing in these Terms limits such rights.
